A settlement has been proposed in this class action lawsuit. If you purchased the publicly traded common stock, or sold put options of OCA, Inc., during the period from May 18, 2004 through June 6, 2005, you may be a member of the settlement class.

On March 2, 2009. following the hearing conducted on February 10, 2009, the Court issued an Order approving the settlement and awarding attorneys’ fees and costs to Lead Counsel. Please refer to the Order and Final Judgment.

The proposed settlement creates a fund in the amount of $6,500,000 in cash, plus interest. Class members who wish to participate in the settlement must submit a valid proof of claim postmarked on or before February 14, 2009.
